Lawyers of MDC are qualified to practice Indonesian law and the attorneys who comprise Melli Darsa & Co or MDC are graduates of Indonesia’s top law schools. Some hold Master of Law degrees from highly reputable law schools in other jurisdictions.

All of the Partners in MDC specialize in certain legal fields. Most MDC lawyers have extensive experience in areas including securities, corporate finance, M&A and general commercial.


 

We are pleased to formally announce the appointments of MDC Junior Partners, as follows:

Ms. Kusumohadiani, who specializes in securities/capital markets and M&A works, has extensive experience in bonds offerings as well as equity transactions, including those offered in reliance of Regulation S and Rule 144 A of the US Federal Securites Act.

Mr. lndra Allen Nasution, who specializes in M&A and foreign investment works, has extensive experience in handling various types of companies including banks, finance and manufacturing companies, plantations, as well as logistics and healthcare companies.

Mr. Robertus K. Adinugraha, who specializes in employment, has extensive experience in handling and representing major multinational companies in various aspects of employment and immigration related matters.

Ms. Kusumohadiani's appointment as Junior Partner has been effective since 1 February 2015, while Mr. Nasution’s appointment has taken effect as of 18 May 2015. Mr. Adinugraha was appointed as the newest Junior Partner of MDC on 1 March 2016.

Ms. Melli Darsa holds a law degree from the Faculty of Law of the University of Indonesia (1990) and a Master of Law degree from Harvard Law School (1994). She has practiced as a lawyer in Indonesia since 1990 and was admitted, in 1996, to practice in the State of New York, USA. In addition, Ms. Darsa is a registered Capital Market Legal Consultant with the Indonesian Financial Services Authority (Otoritas Jasa Keuangan or OJK).

Ms. Darsa has an experience working in the United States and prior to establishing MDC, was an international partner of a global firm active in Indonesia. Ms. Darsa has been the responsible attorney for some of the most complex and high profile transactions in Indonesia, with special focus on banks and financial institutions.  She played an instrumental role in the establishment of PT Bank Mandiri (Persero) as the holding company of four state-owned companies, and the post-merger and continuing restructuring of that company thereafter.  She also handled some of the major bank divestments/acquisitions related to assets under the control of the Indonesian Bank Restructuring Agency (IBRA) shortly after the Asian Financial Crisis, and the recent high-profile banking, M&A, and securities deals. Having grown up primarily in the United States, Switzerland, and Indonesia, Ms. Darsa is able to deal comfortably and equally well with both foreign and Indonesian clients. Her understanding of clients’ expectations has allowed MDC to have excellent working relationships with some of the world’s leading financial institutions as well as notable Indonesian and foreign blue chip companies. Her knowledge of the legal systems of other countries, in combination with a deep insight into the complex fabric of Indonesian legal system, has made Ms. Darsa a trusted advisor to the General Counsels of some of the most respected international banks, investment banks, and other foreign or multinational companies active in Indonesia. Ms. Darsa also specializes in public company governance and litigious cases. Having practiced 25 years and being active in providing legal aid and access to justice initiatives prior to officially practicing law means that Ms. Darsa enjoys excellent connections with many governmental and regulatory agencies.

Ms. Darsa, an Eisenhower fellow with personal interest in anti-corruption and bribery matters, is the Vice Chairperson for Legal and Regulatory Affairs of KADIN Indonesia (the Indonesian Chamber of Commerce and Industry). She now serves as a member of the Honorary Board of HKHPM (Association of Capital Market Legal Consultants). Formerly, she was the Vice-Chairman of HKHPM in charge of Basic and Continuing Legal Education, and President of the Alumni Association of the Faculty of Law of the University of Indonesia (FH ILUNI). Ms. Darsa is a member of PERADI (Indonesian Advocates Association).

Ms. Darsa also teaches at the law school of the University of Indonesia and is often involved in a wide range of law reform initiatives working with the Government and the Indonesian Chamber of Commerce in a wide range of fields from takeovers, governance, and banking regulations, to tax and e-commerce. Melli Darsa has written a number of articles on legal matters and speaks, from time to time, in a number of international events, including in more recent occasions for Practicing Law Institutes, International Bar Association, as well as Continuing Legal Education programs held by various professional associations.

Mr. Ondi Panggabean graduated with distinction from the Faculty of Law of the University of Indonesia (1985) specializing in torts and received his Master of Laws degree from Harvard Law School (1991). Mr. Panggabean has a wide breath of experience working in a number of leading law firms until he set up his own boutique firm in 1997. Following his recruitment into Bank Indonesia’s most exclusive and prestigious officer development program (Pendidikan Calon Pegawai Muda or PCPM), and having been intensively trained for one full year as a central banker projected to be in the leadership of Bank Indonesia, he was an officer of the central bank for a number of years, prior to pursuing his graduate studies.

During the Indonesia Bank Restructuring Agency (IBRA) era, Mr. Panggabean was the first lawyer to represent a client to file a high profile lawsuit against IBRA and was phenomenally successful. Having practiced for more than 30 years, his experience covers a broad range of areas including capital markets transactions involving blue chip companies, commercial and business contracts; banking and finance (including loan syndication and project finance); corporate finance; M&A, consolidations, and restructuring. In the last 15 years, Mr. Panggabean has also handled many complex corporate litigation cases before the district courts, commercial court, administrative court, and industrial relation court.

Mr. Panggabean is registered as a Capital Market Legal Consultant with the Indonesian Financial Services Authority (Otoritas Jasa Keuangan or OJK) pursuant to the Capital Markets Law. He is a member of PERADI (Indonesian Advocates Association) and Ikatan Advokat Indonesia (IKADIN,) registered to practice and appear before all courts in Indonesia. He joined MDC as Senior Of Counsel since August 2013. He is the firm’s litigation specialist, mentor-advisor to the Securities and Banking-and-Finance practice groups, and the Head of Permanent Committee on Litigation of KADIN Indonesia (the Indonesian Chamber of Commerce and Industry).




 

KHIMs. Kusumohadiani holds a law degree from the Faculty of Law of the University of Indonesia (2003) and a Master of Law degree from Northwestern University School of Law, Chicago (2011).  Having been a lawyer of MDC for 12 years, Ms. Diani was promoted from Managing Associate to Jr. Partner of MDC since February 2015, specializing in Mergers and Acquisitions, Securities/Capital Markets, and General Corporate matters. 

She has extensive experience in merger and acquisition transactions of both shares and assets acquisitions, which include undertaking due diligence for various Indonesian companies in banking, securities, insurance, food industry, and telecommunication businesses, in addition to preparing all the transaction documents, disclosures, and assisting negotiations.

Ms Diani also has extensive experience and in-depth knowledge in capital market and securities. She has advised clients in various IPO, Right Issue, and Bonds offering transactions, both domestic and pursuant to Regulation S and Rule 144A of the US Federal Securities Act; and in material, affiliated, and derivative transactions. She has also advised clients for EPC Turn Key Contracts. Ms. Diani is a member of PERADI (Indonesian Advocates Association).

 

IANMr. Indra Allen Nasution holds an accounting degree from Perbanas School of Economics (1999), a law degree from the Faculty of Law of the University of Indonesia (2001), and Master of Laws degree from Erasmus School of Law, the Netherlands (2004). He recently joined MDC to become a Junior Partner.
 
With an over 14 year-experience, Mr. Nasution specializes in M&A, Foreign Direct Investments, and General Corporate Law matters. Prior to joining MDC, he spent a number of years working at other leading Indonesian law firms, which are the exclusive affiliates of global firms. In the last 14 years, Mr. Nasution has been actively involved in numerous M&A deals, foreign direct investments, and corporate restructuring, and has advised clients in general corporate law aspects. He is the Vice Head of Permanent Committee on Service Sector of KADIN Indonesia (the Indonesian Chamber of Commerce and Industry).

In his former firm, he was involved in various business and professional development matters, and actively participated in several workshops on legal matters. He was recently a moderator at the seminar held by Indonesian the In-House Counsels Association in cooperation with the Investment Coordination Board (BKPM). He is a member of PERADI (Indonesian Advocates Association).



Mr. Robertus K. Adinugraha recently joined MDC to become a Junior Partner. He specializes in the area of employment.

Prior to joining MDC, he spent a number of years working at a leading Indonesian law firm, which is the exclusive affiliate of a global firm. In the last 13 years, Mr. Adinugraha has handled and represented major multinational companies in various aspects of Indonesian employment, as well as immigration related matters. He is the Vice Head of Permanent Committee on Real Sector of KADIN Indonesia (the Indonesian Chamber of Commerce and Industry).

Mr. Adinugraha is a member of PERADI (Indonesian Advocates Association).



DRSMr. Danar Respati Sunartoputra holds a law degree from the Faculty of Law of Padjadjaran University (2008) and holds a Master of Law degree from Columbia Law School, New York. He specializes in Securities, Capital Markets, and M&A works. As a Managing Associate of MDC, he primarily handles securities transactions offered in reliance on Regulation S and Rule 144 A of the US Federal Securities Act.

Mr. Sunartoputra’s experience covers a broad range of areas, including public companies and financial institutions, M&A transactions, GCG, as well as management and employee stock option programs. He has written a number of articles related to legal matters. He is the Vice Head of Permanent Committee on Service Sector of KADIN Indonesia (the Indonesian Chamber of Commerce and Industry), also a member of PERADI (Indonesian Advocates Association).



 

VOMs. Vindy Olyvia holds a law degree from the Faculty of Law of University of Indonesia (2008) and a Master of Laws degree from the University of California, Berkeley. Ms. Olyvia has extensive experience in general corporate commercial advisory work,  public and state owned companies governance, as well as cross border M&A and financing works.  She is a member of PERADI (Indonesian Advocates Association).

Mr. Michael H. Giovanni holds a law degree from the Faculty of Law of the University of Indonesia (2002) and holds a Master of Laws Degree from the Faculty of Law of Pelita Harapan University.

Mr. Giovanni specializes in general corporate commercial, foreign investment, and M&A matters. He has extensive experience advising domestic and international clients in various corporate commercial matters related to PMA companies, representative offices, licensing, and other arrangements.

He is a member of PERADI (Indonesian Advocates Association) and HKHPM.  Mr. Giovanni is also registered as a Capital Market Legal Consultant with the Indonesian Financial Services Authority (OJK).
